Terms of Service for Only Opens

Please read these Terms of Service ("Terms") carefully before using the Only Opens mobile application (the "App") developed by Latent Divergence ("we", "us", or "our"). By downloading, installing, or using the App you agree to be bound by these Terms. If you do not agree, do not use the App.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and Latent Divergence. They apply to your use of the App on any Android device. By using the App, you confirm that you are at least 13 years of age (or the applicable minimum age in your jurisdiction), or that you have the consent of a parent or guardian.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to download and use the App on a device you own or control, for your personal, non-commercial purposes.

3. Intellectual Property

The App, including its design, code, graphics, user interface, opening database, and all associated content, is the property of Latent Divergence and is protected by intellectual property laws.

Chess opening theory and ECO codes are part of the public domain of chess knowledge. The specific compilation, curation, descriptions, and presentation of opening data within the App are our proprietary work.

Stockfish is an open-source chess engine distributed under the GNU GPL v3 licence. We use a third-party API (stockfish.online) to access Stockfish's analysis capabilities remotely; we do not distribute Stockfish as part of the App.

4. User Content

The App allows you to import PGN files from your device. You retain full ownership of any chess games you import. By importing a PGN file, you confirm that you have the right to use and process the data contained within it.

Imported games are stored locally on your device and are not shared with us or any third party (except as described in our Privacy Policy regarding the Stockfish API).

Your use of these services is subject to their respective terms and policies, which are independent of these Terms. We are not responsible for the content, availability, or practices of third-party services.

6. Advertisements

The App displays advertisements through Google AdMob. Advertisements are clearly distinguishable from App content. We are not responsible for the content of advertisements or any products or services they promote. Any transaction you enter into with an advertiser is solely between you and that advertiser.

7. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LATENT DIVERGENCE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE APP.

9. Indemnification

You agree to indemnify, defend, and hold harmless Latent Divergence and its affiliates from any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of your use of the App, your violation of these Terms, or your violation of any third party's rights.

10. Termination

We reserve the right to terminate or suspend your access to the App at any time, without notice, for any reason, including if we believe you have violated these Terms. Upon termination, your licence to use the App immediately ceases.

You may stop using the App at any time by uninstalling it from your device.

11. Updates to the App

We may release updates to the App from time to time to add features, fix bugs, or improve performance. We reserve the right to modify or discontinue the App or any feature at any time without liability.

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the App shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are located in the European Union, you may also have the right to use EU dispute resolution mechanisms.

14. Changes to These Terms

We may update these Terms at any time. When we do, we will update the Last Updated date at the top of this document. Continued use of the App after any changes constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the App.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Latent Divergence with respect to the App and supersede all prior agreements, understandings, or representations.
